NeWell Physicians Dissolution Update - Feb 2010

In the August edition of MD Cognition, it was reported that the registered Directors of NeWell Physicians Incorporated (the Company) voted in favor of its dissolution. On October 7, 2009, a special meeting of the Class A shareholders was held where104 proxy votes, out of the total 154 eligible shareholder votes were registered approving the dissolution of NeWell Physicians Incorporated and the plan to liquidate the Company’s assets.

The Articles of Dissolution have been filed with the Secretary of State and next step is to send a letter to both the Class A and Class B common shareholders (i) informing them of the dissolution and (ii) notifying them that they must surrender their original share certificate(s) or, alternatively, execute an affidavit of Lost Share Certificate in order to receive their share of the Company’s assets.

However, locating some of the shareholders has been problematic. Below is a list of those who either have no record on file or their last contact information is not current.
