NeWell Physicians Dissolution Update

Reported in previous editions of MD Cognition, on October 7, 2009, the Class A shareholders voted in favor of the dissolution of NeWell Physicians Incorporated and the plan to liquidate the Company’s assets. All 194 eligible shareholders were sent notification informing them of the dissolution along with the necessary documents and instruction on how to surrender their original share or, alternatively, execute an affidavit of Lost Share Certificate, in order to receive their distribution of Company assets.

As of this writing, 139 checks have been sent to former NPI shareholders. Our goal is to maximize the distribution to the eligible shareholders in order to avoid turning over any “unclaimed funds” to the State. Therefore, a final notice will be mailed to the 55 outstanding shareholders. We were able to reduce the number of shareholders where we lacked current contact information but there are still a few outstanding.
